Terms of Service.

Llummo is operated by Studio:Unbound LLC, a limited liability company registered in the State of Montana, United States (“we,” “our,” or “us”). By accessing or using the Llummo service (the “Service”) at llummo.com, you agree to be bound by these Terms and Conditions (“Terms”). If you are using the Service on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.

If you do not agree to these Terms, you may not access or use the Service. We reserve the right to update these Terms at any time; continued use of the Service constitutes acceptance of any revised Terms.

Llummo provides a reverse-proxy service that sits between your application and third-party large language model (“LLM”) providers such as OpenAI, Anthropic, Mistral, and Cohere. The Service enables real-time tracking of token usage and API costs, encrypted storage of provider API keys, anomaly detection, per-route spend attribution, and related developer tooling.

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice. We will make reasonable efforts to provide advance notice for planned changes that materially affect the Service.

To use the Service, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Keep your password confidential and not share it with third parties
• Notify us immediately at hello@llummo.com if you suspect unauthorised access to your account
• Be solely responsible for all activity that occurs under your account

You must be at least 18 years old, or the age of legal majority in your jurisdiction, to create an account. Accounts registered by automated means are prohibited.

You agree not to use the Service to:

• Violate any applicable law, regulation, or third-party rights
• Violate the terms of service of any LLM provider whose API you route through the Service
• Probe, scan, or test the vulnerability of the Service or any related system
• Attempt to access another user's account, API keys, or usage data
• Circumvent rate limits, authentication controls, or billing restrictions
• Use the Service to generate, distribute, or facilitate spam, malware, or illegal content
• Reverse-engineer, decompile, or disassemble the Service
• Resell or sublicense access to the Service without our prior written consent

We reserve the right to suspend or terminate accounts that violate these policies without prior notice and without refund.

Provider API keys. When you save a provider API key, you represent that you are authorised to use that key and that doing so does not violate the relevant provider's terms. You are solely responsible for the cost of all API requests made using your keys, whether originating from your application or from unauthorised access due to your own security failures.

Proxy keys. Your proxy keys are the primary credentials for authenticating requests to the Service. Treat them as secrets. Llummo is not liable for costs or data loss resulting from unauthorised use of proxy keys that were compromised through your own actions or negligence.

Our obligations. We encrypt provider API keys at rest using AES-256-GCM, store proxy keys as one-way hashes, and transmit all data over TLS. Despite these measures, no security system is infallible. You acknowledge that using any internet-based service carries inherent risk.

Plans and fees. The Service is offered on a subscription basis. Current plan details and pricing are listed on our website. By subscribing to a paid plan, you authorise us to charge the payment method on file at the applicable rate, on a recurring basis.

Free plan. The Free plan is provided “as-is” with limited features and no SLA. We reserve the right to change or discontinue the Free plan at any time with reasonable notice.

Upgrades and downgrades. You may change your plan at any time. Upgrades take effect immediately and are prorated. Downgrades take effect at the start of the next billing cycle.

Cancellation and refunds. You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period; no partial refunds are issued for unused time except where required by law. If we terminate your account for a material breach of these Terms, no refund is issued.

Taxes. Prices shown exclude applicable taxes. You are responsible for any sales tax, VAT, or similar charges applicable in your jurisdiction.

Llummo and its licensors own all intellectual property rights in the Service, including software, algorithms, trademarks, and documentation. These Terms do not grant you any ownership interest in the Service.

You retain all ownership rights in the data you generate, transmit, or store through the Service. By using the Service, you grant Llummo a limited, non-exclusive licence to process your data solely to provide and improve the Service as described in our Privacy Policy.

You may not use our name, logo, or trademarks without prior written consent, except as permitted by applicable fair use rules.

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components, or that any defects will be corrected. We do not guarantee the accuracy of cost calculations, as these are based on token counts and pricing provided by third-party LLM providers that may change without notice.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, LLUMMO AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES — INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL — ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY TO YOU FOR ANY DIRECT DAMAGES SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO US IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED US DOLLARS ($100).

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability, so some of the above limitations may not apply to you.

You agree to indemnify, defend, and hold harmless Llummo, its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses — including reasonable legal fees — arising out of or in any way connected with your use of the Service, your violation of these Terms, or your infringement of any third-party right.

You may close your account at any time from the dashboard. We may suspend or terminate your access to the Service immediately, without prior notice or liability, if we determine that you have violated these Terms or if we reasonably believe your account poses a security risk.

Upon termination, your right to use the Service ceases immediately. Sections on intellectual property, disclaimer of warranties, limitation of liability, indemnification, and governing law survive termination.

These Terms are governed by and construed in accordance with the laws of the State of Montana, United States, without regard to its conflict of law provisions. Any dispute arising out of or in connection with these Terms or the Service shall be subject to the exclusive jurisdiction of the state and federal courts located in Montana, and each party irrevocably submits to that jurisdiction.

If any provision of these Terms is found to be unenforceable or invalid, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force.
